Welcome to Scratch Media Dubai. These Terms of Service (“Terms”) govern your access to and use of our website, content and video production services. By engaging with Scratch Media Dubai, you agree to these Terms.

Scratch Media Dubai is a creative media and marketing agency registered and operating in Dubai, United Arab Emirates. We provide services including but not limited to social media management, content and video production, digital marketing, brand strategy and paid advertising.

Acceptance of Terms

By accessing our website, submitting an enquiry, signing a service agreement, or engaging with our services in any capacity, you confirm that you have read, understood, and agreed to these Terms of Service. If you do not agree, please do not use our services. These terms apply to all visitors, clients, collaborators and any other parties who interact with Scratch Media Dubai.

Services

3.1 Scope of Services Scratch Media Dubai offers a range of creative and digital marketing services. The specific scope of services provided to each client will be outlined in a separate Service Agreement, proposal or Statement of Work (SOW).

3.2 Service Modifications We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice. We will not be liable to you or any third party for any such modifications.

3.3 Third-Party Platforms Many of our services involve third-party platforms including but not limited to Meta, Google, TikTok, and LinkedIn. Your use of these platforms is subject to their own terms of service. We are not responsible for changes to third-party platform policies that affect campaign performance or service delivery.

Client Responsibilities

As a client, you agree to:

Provide accurate, complete, and up-to-date information required for us to deliver services
Supply necessary approvals, assets, login credentials (where applicable), and feedback in a timely manner
Ensure that any materials, content, or assets you provide do not infringe on third-party intellectual property rights
Comply with all applicable laws and regulations relevant to your business and industry
Not use our services for any unlawful, deceptive, or harmful purpose

Fees & Payment

5.1 Pricing All fees are as agreed in your Service Agreement or proposal. Prices are quoted in the currency specified therein and are exclusive of VAT or any applicable taxes unless stated otherwise.

5.2 Payment Terms Payment terms will be outlined in each individual agreement. Late payments may incur a monthly interest charge at the rate permitted under UAE commercial law. We reserve the right to pause or suspend services where payment is overdue.

5.3 Refunds Due to the nature of creative and digital services, fees paid for work commenced are generally non-refundable unless otherwise agreed in writing. Refund disputes will be handled on a case-by-case basis.

Intellectual Property

6.1 Our IP All methodologies, templates, frameworks, tools, and pre-existing materials created or developed by Scratch Media Dubai remain our intellectual property and are not transferred to the client unless explicitly agreed in writing.

6.2 Deliverables Upon full payment of all fees, intellectual property rights in the agreed deliverables — such as designed assets, copy, and produced content — will transfer to the client, unless otherwise specified in the Service Agreement.

6.3 Client Materials You grant us a limited, non-exclusive licence to use your provided materials (logos, brand assets, content) solely for the purpose of delivering the agreed services.

6.4 Portfolio Use We reserve the right to reference and showcase work completed for you in our portfolio and marketing materials unless you have requested confidentiality in writing prior to project commencement.

Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Limitation of Liability

To the maximum extent permitted by UAE law, Scratch Media Dubai shall not be liable for indirect, incidental, consequential, or punitive damages; loss of profits, data, business, or goodwill; performance outcomes on third-party platforms including advertising results; or service interruptions caused by factors outside our reasonable control.

Our total aggregate liability to you shall not exceed the total fees paid by you in the three (3) months preceding the claim.

Warranties & Disclaimers

We will perform services with reasonable care and skill. However, we do not guarantee specific results such as follower growth, reach, or advertising returns, as outcomes depend on many factors outside our control. Services are provided "as is" to the extent permitted by applicable law.

Termination

Either party may terminate a service engagement as outlined in the applicable Service Agreement. In the absence of specific termination provisions, either party may terminate with 30 days' written notice. Upon termination, all outstanding fees become immediately due and we will provide deliverables completed to that date upon receipt of all outstanding payments.

Governing Law & Dispute Resolution

These Terms of Service are governed by the laws of the United Arab Emirates and, where applicable, the laws of the Emirate of Dubai. Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be referred to the competent courts of Dubai, UAE.

Changes to These Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email or notice on our website. Your continued engagement with our services after such changes constitutes acceptance of the updated terms.
